Welcome to MINISHOP. MINISHOP is a product provided by Smartzer Ltd, a private limited company registered in England under Company Number 08331824, with its registered office at 86-90 Paul Street, London, England, EC2A 4NE ("Smartzer", "we", "us" or "our").
Please read these terms and conditions carefully before using the MINISHOP website, platform or services. By browsing the website or using the MINISHOP product, you agree to comply with and be bound by these terms. If you do not agree, please do not use MINISHOP.
These terms are effective immediately. We may modify them from time to time, and the amended terms will apply as soon as they are posted on this page. If you do not agree with any changes, you should cease using MINISHOP.
Account terms
You may browse the MINISHOP website without an account. To create an account and use the MINISHOP platform, you must be at least 18 years old and able to enter into a legally binding agreement.
When you register, you must provide accurate and complete information. You must not impersonate another person, use a name you are not authorised to use, or select a name that is offensive or misleading. If you are using MINISHOP on behalf of a company or other entity, you confirm that you have authority to bind that entity to these terms.
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Please notify us immediately if you believe your account security has been compromised. We reserve the right to disable any account if, in our reasonable opinion, these terms have been breached.
Subject to these terms, we grant you a limited, non-exclusive, non-transferable, personal and revocable licence to use MINISHOP and visit the website. We reserve all rights not expressly granted.
Product and content terms
MINISHOP allows you to upload videos, images, product details and other content to create shoppable video and live shopping pages. Anything you post or make available through MINISHOP is referred to as "user content".
You are entirely responsible for your user content and any opinions, recommendations or advice expressed in it. You represent and warrant that you have all necessary licences, rights, consents and permissions to allow us to use your user content to provide MINISHOP.
You grant Smartzer a non-exclusive, royalty-free, transferable, worldwide licence to use, store, display, reproduce, share, overlay, tag, modify and distribute your user content through MINISHOP, solely for the purposes of operating, developing, providing and improving the product.
Following termination or deactivation of your account, or if you remove user content from MINISHOP, we may retain that content for a commercially reasonable period of time, including for archival purposes.
When using MINISHOP, you agree not to:
- Reproduce, copy, store, edit or prepare derivative works of any content that you do not have the right to use;
- Use MINISHOP in any way that violates these terms or any applicable law;
- Distribute MINISHOP code, scripts, technology or security elements to third parties;
- Interfere with or circumvent any security, access control or technical measures of MINISHOP;
- Upload or transmit anything illegal, abusive, harassing, harmful, hateful, obscene, indecent or otherwise inappropriate.
If you breach any of these conditions, you agree to be solely responsible for any resulting loss or damage, and we reserve the right to remove content, refuse service or terminate your access without prior notice.
We may make changes to MINISHOP and the website from time to time without prior notice. MINISHOP may contain links to third-party websites, advertisers or services that we do not own or control. We do not endorse or assume responsibility for any third-party content, products or services. Accessing third-party sites through MINISHOP is at your own risk.
Intellectual property
Except for user content, all content, branding, software and materials used in or made available through MINISHOP are owned by or licensed to Smartzer and are protected by copyright, trademark and other intellectual property rights. The MINISHOP website and product are owned by us and protected by applicable laws and international treaty provisions.
Smartzer retains the right to apply updates to MINISHOP. These updates may result in minor changes to the appearance or behaviour of pages, players or analytics, in order to maintain the latest functionality and service quality.
Data ownership
Smartzer will own all copies of data associated with your MINISHOP account and use of the product ("Data"). Smartzer acts as a data controller for most of this data. Where viewers or users enter information directly into a MINISHOP page, Smartzer generally acts as a data processor on your behalf.
You can request a copy of your Data at any time. Data is also presented to you through your MINISHOP analytics dashboard, and we may provide additional exports in a generally accepted format such as CSV.
By using MINISHOP, you grant Smartzer a non-exclusive, limited right to access and use the Data associated with your account, including for analysis and product improvement purposes.
We use industry-standard administrative, physical and technical safeguards to protect the security, confidentiality and integrity of your Data. Data is stored securely via leading cloud providers. However, no security measures are completely effective, and Smartzer cannot guarantee absolute security.
SMARTZER SHALL NOT BE RESPONSIBLE OR LIABLE FOR UNAUTHORISED ACCESS, HACKING OR OTHER SECURITY INTRUSIONS, OR FOR FAILURE TO STORE OR THEFT, DELETION, CORRUPTION, DESTRUCTION, DAMAGE OR LOSS OF ANY DATA OR INFORMATION.
Platform access and payment
Platform access is available via direct subscription. Subscription terms, renewal periods and any alternative arrangements will be set out in the plan or agreement you select.
For overdue payments, interest may be charged as permitted under Section 6 of the Late Payment of Commercial Debts (Interest) Act 1998. If a payment is overdue after the invoice due date, you may be liable for interest and additional recovery costs. During any period in which payments are overdue, our obligations may be suspended.
Any setup, tagging or professional service fees are payable in full before the relevant work goes live, unless otherwise agreed in writing.

You acknowledge that you have read this agreement, understand it and agree to be bound by it. This agreement represents the complete statement of the agreement between you and us and supersedes any prior proposal, agreement or communication relating to its subject matter.
These terms are governed by the law of England and Wales.
